Terms & Conditions — Trac Admin

Rules for using the Trac Admin application (for authorized staff).

1. Acceptance of Terms

By accessing or using the Trac Admin application (the “Admin App”), provided by Trac Software Solutions Inc. (“Trac”, “we”, “us”, or “our”), you agree to these Terms and Conditions (“Terms”). If you do not agree, you must not use the Admin App. Use is limited to individuals authorized by their organization to perform operational/admin functions.

2. License & Authorized Use

We grant a limited, non-exclusive, non-transferable, revocable license to use the Admin App solely for internal operational purposes on behalf of your organization and within your assigned role. You may not copy, distribute, reverse engineer, or create derivative works except as permitted by law. All rights not expressly granted are reserved by Trac.

3. Accounts, Access & Security

  • You must have a valid, authorized account provisioned by your organization or Trac. Account sharing is prohibited.
  • You are responsible for safeguarding credentials and devices and for all activity under your account. Notify your organization and Trac immediately if you suspect unauthorized access.
  • Your organization may manage, restrict, or disable your access at any time.

4. Permitted & Prohibited Uses

You agree to use the Admin App only for legitimate operational tasks (e.g., sending system notices to riders, reviewing driver alerts, submitting feedback). You agree not to:

  • Use the Admin App in any unlawful, harmful, or abusive manner, or in violation of applicable laws, policies, or contracts.
  • Interfere with or disrupt the Admin App, attempt to bypass security, rate limits, or access controls, or probe/scan systems without authorization.
  • Send spam, harassing, defamatory, deceptive, or misleading content to riders, or any content that infringes intellectual property or privacy rights.
  • Include sensitive personal information about individuals in broadcast notices (e.g., government IDs, financial details, health information), unless your organization and applicable law expressly permit it and you have a lawful basis.
  • Automate access in a way that imposes unreasonable load or violates our API/topic usage policies.

5. Admin-Generated Content & Messaging

You acknowledge that messages or notices you send via the Admin App may be delivered to end users (e.g., Commuter app users). You represent that you have authority to send such communications, that they are accurate to the best of your knowledge, and that they comply with applicable laws and policies. You are responsible for the content you submit or send.

The Admin App is not a substitute for emergency services. Do not use it to report emergencies or to direct riders during life-threatening situations.

6. Operational Data & Confidentiality

You may access operational data (e.g., bus locations, routes, driver alerts). Such information may be confidential to your organization and must be used only for authorized business purposes. You must not disclose confidential information to third parties except as permitted by your organization and the law.

7. Monitoring, Logs & Audit

For security and compliance, Trac and/or your organization may log and monitor admin activity, including sign-ins, configuration changes, and messages sent. By using the Admin App, you consent to such logging and audit for operational, security, and diagnostic purposes.

8. Service Information & Availability

The Admin App may display live operational data. While we strive for accuracy, such information can be delayed, incomplete, or inaccurate due to network conditions, GPS availability, or third-party data. The Admin App is provided on an “as is” and “as available” basis and may be unavailable from time to time (maintenance, outages, etc.).

9. Third-Party Services & Links

Third-Party Services: The Admin App integrates with third-party services (e.g., Firebase by Google for authentication, messaging; Mapbox for maps and geospatial data; Crashlytics for crash reporting). Your use of those services within the Admin App is subject to their terms and policies (for example: Firebase Terms, Firebase Privacy, Crashlytics Terms, Mapbox Terms, Mapbox Privacy). We are not responsible for third-party services and have no control over their content or practices.

10. Intellectual Property

The Admin App and its content (software, text, graphics, logos, trademarks) are owned by Trac Software Solutions Inc. or its licensors and are protected by intellectual property laws. No rights are granted except the limited license in Section 2. You must not remove or obscure copyright, trademark, or proprietary notices.

11. Privacy

Your use of the Admin App is governed by our Privacy Policy. Unlike the rider-facing app, the Admin App requires an authenticated account and may process limited personal information about admin users (e.g., email, display name, and role) and operational/audit logs (e.g., timestamps, actions taken, topics/messages sent). By using the Admin App, you acknowledge and agree to the Privacy Policy. Your organization may also have its own privacy and acceptable-use policies that apply to your use.

12. Security

We implement reasonable administrative, technical, and physical safeguards, but no system is perfectly secure. You agree to keep devices patched, use strong credentials, and follow your organization’s security requirements. Promptly report security incidents or suspected compromise.

13. Disclaimers of Warranties

The Admin App is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or that data will be current or accurate.

14. Limitation of Liability

To the maximum extent permitted by law, Trac and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Admin App, including loss of data, loss of goodwill, operational delays, or business interruption. In all cases, Trac’s total liability for claims related to the Admin App is limited to amounts paid (if any) for the specific Admin App access giving rise to the claim. Some jurisdictions do not allow certain limitations; where prohibited, they will not apply.

15. Indemnification

You agree to indemnify, defend, and hold harmless Trac, its affiliates, and their officers, directors, employees, and agents from claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your misuse of the Admin App; (b) content or messages you send; (c) your violation of these Terms or applicable law; or (d) your infringement of third-party rights.

16. Suspension & Termination

We or your organization may suspend or terminate your access at any time for any reason, including suspected breach, security risk, or misuse. Upon termination, your rights under these Terms will cease immediately, but Sections intended to survive (e.g., confidentiality, IP, limitations, indemnity) will continue.

17. Changes to the Admin App & These Terms

We may modify or update the Admin App and these Terms from time to time. If we make material changes, we will update the “Last Updated” date and, where feasible, notify you in the Admin App or via other channels. Continued use after changes constitutes acceptance.

18. Enterprise Agreements

If your organization has a separate written agreement with Trac (e.g., SaaS or enterprise license), that agreement governs to the extent it conflicts with these Terms.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts of Ontario, Canada.

20. Severability & Waiver

If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect. Our failure to enforce any provision is not a waiver of our rights.
